Cram down

Creditors can be bound by a composition against their will under the WHOA; a cram down arises when a minority in a class is overruled by at least a two-thirds majority in that same class. The class has then approved the composition. The majority is determined on the basis of the amount of claims belonging to creditors who have voted within a class (so not on the basis of the number of creditors who voted).
