The right of shareholders to place a subject on the agenda of the shareholders meeting.
This right is recognized in Section 2:224a Civil Code. A number of conditions apply. The request must be made in writing by a shareholder representing at least 1% or more of the issued capital with a term of 30 days prior to the meeting. However, the

Articles of Association may shorten or extend these time limits.
It is also possible for persons other than shareholders to also have the right to attend meetings. These could be, for example, depositary receipt holders who are also granted the right to attend meetings in the articles of association.
If the conditions are met, the person who draws up the agenda for the shareholders meeting will have to include the agenda item which was requested, should be included in the agenda unless compelling interests of the BV oppose its inclusion.
