In the Netherlands, the board under the articles of association A document, drawn up when a Dutch company or legal person is set up, and which regulates the operations of the company and defines its purpose.

Articles of Association
of a legal person is the body that is responsible with the day-to-day management and is authorised to make decisions regarding the legal person. The board shall not only serve the interest of the legal person but also has to take the interests of stakeholders into consideration.

The board can consist of several directors / members but this is not required. In general every board member has independent authority to represent the legal person. This authority to represent can be limited by the articles of association. 

According to Dutch law the board of a private or public limited company is normally appointed and dismissed by the shareholders’ meeting. If a board member is appointed according to the articles of association (in Dutch: statuten), he is referred to as “statutair bestuurder” (director under the articles of association).
